Introduction

These Terms and Conditions (“Terms”) govern the provision of transportation services provided by Stargate Logistics (“Service Provider”) to its customers (“Customer”). By tendering a shipment for service, the Customer agrees to these Terms. These Terms are subject to change without notice and will be published periodically on our website.

Definitions

• Business Day: Any day other than Sunday or a statutory holiday.
• Parties: Refers collectively to the Service Provider and the Customer.
• Product: Commodities designated by the Customer for transportation.
• Service: The transportation services requested by the Customer.

Acceptance of Terms

The acceptance of freight rates and commencement of services shall constitute binding acceptance of these Terms. If a written agreement exists, the terms of that agreement shall prevail.

Pricing and Payment

• Pricing is quoted in Canadian dollars and is valid for 30 days unless otherwise stated.
• Additional charges may apply for delays, extra handling, or special requirements.
• Payment terms are net 30 days from the date of invoice.

Liability

• Stargate Logistics is liable for loss or damage to goods while in our custody, except as excluded by law or these Terms.
• Customers must provide accurate shipment weights; discrepancies may result in rate adjustments.

Compliance
Stargate Logistics will ensure compliance with all applicable laws and regulations related to the transportation of goods.

Documentation
The Customer must provide accurate shipping instructions and necessary documentation, including Bills of Lading, for each shipment.

Non-Solicitation
Both Parties agree not to solicit or hire employees of the other Party during the service period and for one year thereafter.

Governing Law
These Terms shall be governed by the laws of the Province of Ontario and the applicable laws of Canada.
